OVERVIEW
Welcome to LOTUS AND WILDE. This store is operated by AGILE CUBIC USA INC., trading as LOTUS AND WILDE. Throughout these Terms, “we”, “us” and “our” refer to AGILE CUBIC USA INC.
These Terms of Service govern your use of our website and related services, and your purchases from our store (collectively, the “Services”). Our store is hosted on Shopify, which provides the technology that enables us to offer the Services.
By using the Services or placing an order, you agree to these Terms. Please also review our Privacy Policy, Shipping & Delivery Policy and Returns & Refunds Policy.
Nothing in these Terms excludes or limits any consumer rights or remedies that cannot lawfully be excluded or limited.
ACCESS AND ACCOUNT INFORMATION
You must be at least the age of majority in your place of residence and legally capable of entering into a contract to place an order.
You agree to provide accurate, current and complete contact, billing and delivery information. Please notify us promptly if information relevant to an outstanding order changes.
If you create an account, you are responsible for keeping your login details secure and notifying us of suspected unauthorized access. You may not sell or transfer your account to another person.
PRODUCT INFORMATION
We aim to describe and display our products accurately, including their materials, dimensions, finishes and included components.
Colours and textures may appear different depending on lighting, photography and screen settings. Normal variations in materials or finishes may occur. These variations do not remove our responsibility to provide products that conform to their descriptions and applicable warranties.
Please review the product description, dimensions and selected configuration before ordering. Unless expressly included in the product description, decorative accessories shown in photographs are not included.
You are responsible for checking that your chosen furniture fits your intended space and can pass safely through the delivery access route. Please contact us before ordering if you need assistance.
We may update product listings or discontinue products. Changes to a listing do not alter the agreed specifications of an accepted order without your consent.
ORDERS AND ACCEPTANCE
Placing an order constitutes an offer to purchase the selected products and authorizes payment of the total displayed at checkout.
An automated order acknowledgment confirms receipt of your order. Acceptance occurs when we confirm acceptance or dispatch your order, whichever happens first.
We may decline an order for a legitimate reason, including unavailable stock, an ineligible delivery address, an unresolved payment issue or suspected fraud. If we cannot accept or fulfil an order, we will notify you and refund any payment collected for the affected order or items.
We will not make material substitutions or changes to an accepted order without your agreement.
Our store is intended for personal and household purchases. Please contact us before ordering for commercial resale or other trade purposes.
PRICES AND PAYMENT
All prices and delivery charges are in United States dollars (USD), unless expressly stated otherwise.
Applicable taxes and delivery charges are displayed at checkout before you submit your order. The total shown at checkout is the amount you authorize us to charge.
Prices may change for future orders. Subsequent price changes do not alter the agreed price of an accepted order.
You must be authorized to use the payment method provided and must supply accurate payment and billing information. Available payment methods are displayed at checkout.
If we identify a material pricing or listing error affecting your order, we will contact you before proceeding. You may agree to the corrected terms or cancel the affected items for a full refund. We will not charge an additional amount without your authorization.
DELIVERY AREA AND CHARGES
We currently offer local delivery to selected ZIP codes in Southern California, fulfilled from Ontario, California. Eligibility is determined by your delivery address at checkout.
We do not currently offer nationwide or international shipping.
Local delivery charges are based on the merchandise subtotal after any applicable discounts, excluding taxes and delivery charges:
• $1,000.00–$1,999.99: $200 delivery.
• $2,000.00–$2,998.99: $150 delivery.
• $2,999.00 and above: complimentary delivery.
The minimum order value for local delivery is $1,000. These rates apply only to eligible addresses within our delivery area.

DELIVERY SERVICE AND ACCESS
Delivery is carried out by a two-person team by appointment. Assembly, installation and packaging removal are not included.
Please tell us before ordering about stairs, narrow doorways, restricted access, elevator reservations, parking restrictions or building delivery requirements. Access arrangements must be agreed before delivery.
You must ensure that an adult you authorize is available to receive the order at the agreed appointment.
If a delivery cannot be completed because of an access restriction or missed appointment, we will contact you to discuss the available options. Any proposed additional service or redelivery charge will be explained and agreed before it is incurred.
Delivery estimates are not confirmed appointments. We will contact you to arrange delivery.
If we cannot ship within the timeframe promised, we will notify you and provide the option to consent to a revised timeframe or cancel for a full refund of the unshipped items, as required by applicable law. If no shipment timeframe is stated, applicable legal shipment deadlines will apply.
We remain responsible for loss of or damage to products during transit until physical delivery to you or your designated recipient. Handover to a carrier does not transfer that responsibility to you.
CANCELLATIONS, RETURNS AND REFUNDS
You may cancel your order without charge before it is handed over to the delivery carrier.
After carrier handover, cancellation and any applicable transport costs are handled under our Returns & Refunds Policy. Any applicable costs will be explained to you. We do not charge for services that have not been performed.
For change-of-mind returns, please contact us within 14 calendar days after delivery. Products must be unused, undamaged and unaltered, with their included accessories and original packaging, subject to reasonable inspection.
Please obtain return authorization before sending items back. We will provide return instructions and the appropriate return address privately.
For eligible change-of-mind returns, customers are responsible for actual return transport costs. An original paid delivery charge is non-refundable once that delivery service has been performed. We do not retrospectively charge for delivery that was originally complimentary, and we do not impose a flat or percentage-based restocking fee.
Different arrangements apply to damaged, defective or incorrect products, as explained below and in our Returns & Refunds Policy.

Nothing in this section limits your statutory rights.
DAMAGED, DEFECTIVE OR INCORRECT ITEMS
Please inspect your order when it arrives and contact us as soon as reasonably possible if an item is damaged, defective, missing or incorrect.
Where available, include your order number, a description of the issue and photographs to help us assess and resolve it.
We recommend reporting visible delivery damage within 48 hours, but this is not a deadline that removes your rights or prevents a valid claim.
Where we are responsible for a damaged, defective or incorrect product, we will arrange an appropriate remedy and bear reasonable associated transport costs, in accordance with our Returns & Refunds Policy and applicable law.
PRODUCT CARE AND WARRANTIES
Please follow the care, maintenance and safe-use instructions supplied with your furniture or published for the relevant product.
Any additional express product warranty will be stated in the relevant product information or accompanying warranty documentation. These Terms do not create a separate fixed-duration commercial warranty.
Normal wear, misuse or failure to follow appropriate care instructions may affect eligibility under an express warranty where its terms and applicable law allow. This does not remove any rights relating to a product that was defective or did not conform to its description when supplied.
Nothing in these Terms excludes or limits any applicable implied warranty or other non-waivable consumer protection.
RELATIONSHIP WITH SHOPIFY
LOTUS AND WILDE is powered by Shopify, which enables us to provide the Services to you. When you use the Services, your device communicates with Shopify’s systems to deliver the Services. Section 11 explains how Shopify uses and processes information from these interactions.
However, any sales and purchases you make in our store are made directly with AGILE CUBIC USA INC., trading as LOTUS AND WILDE.
By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and LOTUS AND WILDE, including injury, damage or loss resulting from purchased products and services. To the extent permitted by applicable law, you release Shopify and its affiliates from claims, damages and liabilities arising from or related to your purchases and transactions with LOTUS AND WILDE.
This section does not exclude any liability or rights that cannot lawfully be excluded.
PRIVACY

INTELLECTUAL PROPERTY
Website text, photographs, graphics, designs, logos and other content are owned by us or used with permission from their respective rights holders.
You may browse the website and save or print reasonable portions for your personal shopping reference. You may not reproduce, commercially exploit or distribute protected content without permission, except where permitted by law.
Purchasing a product does not transfer intellectual property rights in its design, branding or associated materials.
Shopify and other third-party names and logos remain the property of their respective owners.
REVIEWS AND CUSTOMER CONTENT
If you submit a product review, photograph or other content for publication, you confirm that you have the necessary rights to share it and that it reflects your honest experience.
You grant us a non-exclusive, worldwide, royalty-free licence to display, reproduce and format that submitted content in connection with our store and product marketing. We will not alter a review in a way that misrepresents its meaning.
Private customer service correspondence is not treated as permission to publish your message, name or photographs for marketing.
Please disclose any incentive or material relationship relevant to a review. Do not submit unlawful content, another person’s private information, misleading claims or content that infringes another person’s rights.

We aim to keep the website accurate, secure and available, but cannot guarantee uninterrupted or error-free operation.

We may correct typographical errors, inaccurate information or omissions. Corrections affecting an existing order will be handled in accordance with Sections 3 and 4; we will not unilaterally change the agreed product or charge an additional amount.

LIABILITY AND CONSUMER RIGHTS
We remain responsible for our obligations concerning the products you purchase, delivery, refunds and applicable warranties.
To the extent permitted by law, we are not liable for indirect business losses, including lost business profits or business opportunities, arising from use of a store intended for personal and household purchases.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, or any injury, loss, warranty obligation or other liability that cannot lawfully be excluded or limited.
Nothing in these Terms prevents you from exercising applicable rights relating to defective, damaged, incorrectly described or undelivered products.
EVENTS OUTSIDE OUR REASONABLE CONTROL
Severe weather, natural disasters, transport disruption and other events outside our reasonable control may affect fulfilment.
If an event affects your order, we will take reasonable steps to keep you informed and discuss available options.
Such events do not remove your applicable cancellation or refund rights, or our obligation to obtain consent to a shipment delay where required by law.
ELECTRONIC COMMUNICATIONS
We may contact you electronically about your order, delivery appointment, account, return, refund or other service-related matter using the contact details you provide.
Please keep those details current and check for messages concerning outstanding orders.
Placing an order does not, by itself, constitute consent to receive marketing communications where separate consent is required. Marketing preferences are handled in accordance with our Privacy Policy and applicable law.
GOVERNING LAW AND DISPUTES
These Terms are governed by the laws of the State of California and applicable United States federal law, without excluding any mandatory consumer protections that apply to you.
Please contact us first if you have a concern so we can try to resolve it. Contacting us first is not a condition that prevents you from exercising a legal right or meeting a legal deadline.
Disputes may be brought before courts with jurisdiction in California, subject to any right you have under applicable law to bring a claim elsewhere.
SEVERABILITY AND WAIVER
If a provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Our failure to enforce a provision on one occasion does not waive the right to enforce it on another occasion.

TRANSFER OF RIGHTS AND OBLIGATIONS
We may transfer our rights and obligations as part of a legitimate business transfer, provided that this does not reduce your rights relating to an existing order.

APPLICABLE POLICIES AND ORDER TERMS
These Terms, the policies linked within them, and the product specifications and order details agreed at the time of purchase form the terms applicable to your order.
Our Returns & Refunds Policy governs the detailed handling of returns and refunds. Our Shipping & Delivery Policy governs detailed delivery arrangements. Any specific commitment expressly agreed with you for an order also forms part of that order.
Nothing in these Terms removes any binding representation, promise or statutory right that cannot lawfully be excluded.
CHANGES TO THESE TERMS
We may update these Terms by publishing a revised version on this page and changing the “Last updated” date.
Updates apply prospectively. The version in effect when your order was placed continues to govern that order unless you expressly agree otherwise or a change is required by law.
We will provide notice of material changes where required by applicable law.
